Reporting to the CEO and as an active member of the Executive team, the Vice-President, Legal & Corporate Secretary will lead several functional corporate departments in addition to providing expert legal advice for general, specific, formal and informal advice on a wide variety of issues to support and guide the Senior Leadership Team and Board of Directors. Overview of Responsibilities:
Provide legal services involving the organization and ensuring that the MBLL's legal obligations are discharged in a fair and consistent manner.
Provide leadership of corporate departments related to Risk Management, Policy & Regulatory Compliance, Internal Audit, Records Management and Corporate Social Responsibilitydeveloping innovative procedures, processes and tools to support.
Review, evaluate and coordinate agreements with third parties and triage identified legal issues for the corporation, offering advice where appropriate and referring to external counsel when required.
Develop strong relationships with internal and external stakeholders (other crowns, government and partners), representing MBLL at various meetings, events and committees.
Advise and counsel the Board Chair, Board of Directors and the CEO on corporate governance, including Board policy and procedural matters, and ensure all applicable Corporate by-laws and legislation are complied with.
Preferred Experience & Skill Set
Have completed a university degree in law and are in good standing of the Law Society of Manitoba.
A minimum of 7 years senior level experience with an ideal combination of corporate/commercial law in private practice and in-house experience.
Have deep experience in applying strategic and operational business approaches and practices to achieve outcomes and maximize performance expectations.
A mentor and coaching type leader who stands by a high level of ethical, professional and business standards.
Strong business acumen with exposure to a broad array of corporate and commercial transactions.
A solutions oriented professional who proactively identifies business solutions for complex issues.
The ability to work collaboratively at all levels to influence change and deliver innovative solutions.
Having experience reporting to a board or sitting on a board is an asset.
